Terms of Service

By creating an account or using Clippum, you agree to these Terms of Service. We've kept them short and human. If something here surprises you, email hi@clippum.com.

1. Who you're contracting with

"Clippum" is the trade name of Robert Sielmann Balsells PA, a Florida Professional Association with offices at 5 Island Ave, Apt 11K, Miami, FL 33139, United States. When these terms say "we," "us," or "Clippum," we mean that entity. When they say "you," we mean the person or organization using the service.

2. What Clippum does

Clippum is a software-as-a-service product that takes long-form videos (typically YouTube videos), transcribes them, and produces short vertical video clips intended for social platforms such as TikTok, Instagram Reels, and YouTube Shorts. The service runs entirely online at clippum.com.

3. Your account

• You must be at least 13 years old to create an account, and if you are under 18 you confirm a parent or legal guardian has reviewed and agrees to these terms on your behalf.
• You must give us a real, working email address and verify it.
• You are responsible for keeping your password secure. If your account is compromised, tell us immediately.
• You may have one account unless we explicitly agree otherwise (agencies running multiple profiles inside a single account are fine — multiple accounts to dodge quotas are not).

4. Acceptable use

You agree not to use Clippum to:

• Process content you don't own or don't have explicit permission to use.
• Create clips that are illegal, defamatory, harassing, hateful, or sexually explicit, or that exploit minors in any way.
• Infringe any third party's intellectual property rights (copyright, trademark, right of publicity, etc.).
• Reverse-engineer, scrape, automate, or overload the service.
• Resell or repackage Clippum as your own service without prior written permission.
• Bypass quotas by creating multiple accounts, using disposable emails, or any other workaround.
• Use the service in connection with illegal activity, including under U.S. export-control or sanctions laws (OFAC).

We may suspend or terminate accounts that violate these rules. If we suspend you for cause, we don't owe a refund.

5. Content and intellectual property

• Your content and your clips: you own them. Clippum claims no rights over the videos you process or the clips you generate.
• Source material: you represent and warrant that you have the legal right to process any video you submit. Clippum is not liable for copyright or other infringement caused by your choice of source material.
• DMCA: if you believe content processed through Clippum infringes your copyright, send a notice under 17 U.S.C. § 512 to hi@clippum.com with the subject "DMCA notice." Include the elements required by the DMCA (identification of the work, the allegedly infringing material, your contact info, a good-faith statement, an accuracy-under-penalty-of-perjury statement, and your signature).
• Our service: the Clippum website, code, design, brand, and underlying methods are our intellectual property. You receive a limited, non-transferable, non-exclusive license to use the service for its intended purpose.

6. Plans and billing

• Plans, prices, and clip allowances are listed at clippum.com/pricing.
• Free plan: 3 clips total, no time limit, no card required.
• Paid plans automatically renew on a monthly basis until canceled. Pricing is in US Dollars and may exclude applicable sales tax, VAT, or other taxes, which are added at checkout where required.
• Billing happens through Stripe. We don't store your card details — Stripe does, under PCI-DSS compliance.
• Unused clips do not roll over to the next month.
• If a payment fails, we'll retry and notify you. After repeated failures we may suspend the account until you resolve the issue.
• We may change prices with at least 30 days notice by email. If you don't accept the change, cancel before it takes effect.

7. Cancellation

You can cancel anytime through the billing portal inside your account. No calls, no forms, no retention pitches. Your access continues until the end of the current billing period, after which your account reverts to the Free plan.

8. Refunds

• First 7 days: full refund of your first paid subscription period, no questions asked. Email hi@clippum.com.
• After 7 days: prorated refunds are considered case by case. We try to be fair.
• Refunds are processed back to the original payment method within a few business days.

9. Clip storage and expiration

Generated clips are stored in our cloud storage for 15 days from creation. After that, they are permanently deleted. Download them before they expire. We'll send a warning email a few days before expiration. The 15-day window applies to every plan and helps us control storage costs and pricing.

10. Service availability

• We aim for high uptime but we do not guarantee 100% availability. Stuff breaks: infrastructure incidents, third-party outages (Stripe, OpenAI, Cloudflare), and scheduled maintenance.
• We do not offer service credits or refunds for short outages. For prolonged outages (more than 24 consecutive hours), email us and we'll work it out fairly.
• We may modify, add, or discontinue features with reasonable notice.

11. Disclaimers

CLIPPUM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS. AI MODELS GET THINGS WRONG; YOU ARE RESPONSIBLE FOR REVIEWING EVERY CLIP BEFORE PUBLISHING.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO CLIPPUM IS LIMITED TO THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS (US$100). WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST BUSINESS OPPORTUNITIES, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.

Some jurisdictions don't allow these limitations, so they may not apply fully to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Robert Sielmann Balsells PA and its officers, employees, and contractors from any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising from (a) your content, (b) your use of Clippum, (c) your violation of these Terms, or (d) your violation of any third-party right, including intellectual property or privacy rights.

14. Termination

You may terminate by deleting your account at any time. We may terminate or suspend your account at our discretion for violations of these Terms, non-payment, or reasonable security concerns. On termination we will delete your personal data within 30 days, except records we must retain by law (e.g. tax records).

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, and applicable U.S. federal law.

Informal resolution

Before filing a formal claim, please email hi@clippum.com with the subject "Legal notice" describing the issue. We'll try to resolve it informally for at least 30 days.

Binding arbitration and class-action waiver

Any dispute that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida (or by video conference at your election). YOU AND CLIPPUM AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

You may opt out of arbitration within 30 days of accepting these Terms by emailing hi@clippum.com with the subject "Arbitration opt-out" and your full name and email address. If you opt out, disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you and we consent to personal jurisdiction in those courts.

16. Changes to these Terms

We may update these Terms over time. If we make material changes, we'll email you at least 30 days before they take effect. Continuing to use Clippum after that means you accept the new Terms.

17. Miscellaneous

• If any part of these Terms is found invalid, the rest remains in effect.
• Our failure to enforce any provision doesn't waive our right to enforce it later.
• These Terms, together with the Privacy Notice, are the entire agreement between you and us regarding Clippum.
• You may not transfer your account or these Terms without our written consent. We may transfer the service or these Terms to a successor in business (e.g. if we are acquired).
• No agency, partnership, joint venture, or employment relationship is created by these Terms.
